Please read these Terms and Conditions ("Terms," "Agreement") carefully before accessing or using the Vantage Pro e-learning website and mobile applications (collectively, the "Services") operated by Vantage Knowledge Academy Ltd. ("Vantage," "we," "us," or "our"). This Agreement sets forth the terms and conditions governing your use of the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not access or use our Services.

1. Use of Services
1.1 Eligibility
To use our Services, you must be at least 16 years old. By using the Services, you represent and warrant that you meet this eligibility requirement.

1.2 Account Creation
To access certain features of our Services, you may be required to create an account and pay a subscription fee for course access. You are responsible for providing accurate, complete, and up-to-date information during the account registration process. You are also responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

1.3 Prohibited Activities
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services for any illegal, harmful, or unauthorized purposes
- Impersonate any person or entity or falsely state your affiliation with any person or entity
- Interfere with or disrupt the operation of the Services or servers or networks connected to the Services
- Engage in any form of automated data collection or extraction without our prior written consent
- Attempt to gain unauthorized access to any portion of the Services or any other accounts, systems, or networks connected to the Services
- Use any data or content from the Services for commercial purposes without our express written permission

2. Intellectual Property
2.1 Ownership
The Services and all content, features, and functionality provided through the Services, including but not limited to text, graphics, logos, images, audio clips, videos, and software, are owned or licensed by Vantage and are protected by copyright, trademark, and other intellectual property laws.

2.2 Limited License
Subject to your compliance with these Terms and payment of the subscription fee, Vantage grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes.

2.3 Restrictions
You agree not to:
- Modify, reproduce, distribute, or create derivative works based on the Services or any content therein, except as expressly authorized by Vantage
- Use any automated means or interface to access the Services or extract data from the Services
- Remove or modify any copyright, trademark, or other proprietary notices contained in or on the Services

3. User Content
3.1 User Responsibilities
You are solely responsible for any content, information, or materials ("User Content") that you submit, upload, or post on or through the Services. By submitting User Content, you represent and warrant that you have all necessary rights and permissions to do so.

3.2 License to User Content
By submitting User Content, you grant Vantage a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and Vantage's business purposes.

3.3 Prohibited User Content
You agree not to submit any User Content that:
- Infringes or violates any third-party rights, including copyright, trademark, or privacy rights
- Contains defamatory, obscene, offensive, or

- Contains viruses, worms, or other malicious code that may harm the Services or its users
- Promotes or engages in illegal or harmful activities

3.5 Access to LMS
Students must access and manage their LMS accounts regularly as Vantage Pro will send vital information from time to time and will assume that students have opened and acted on these communications

3.6 User Consent
By signing the enrollment form, the student provides unconditional consent to Vantage Pro for use of his name, marks and other details in Vantage Pro publicity campaign/marketing/advertising, using all media forms.

If you have enrolled for a Vantage Pro Learning course, we may request a testimonial and with your permission, display the testimonial, photo or video on our website social media channels. Your publicly identifiable information could be used to send you promotional, unsolicited messages. We are not responsible for the personal information you have chosen to display.

4. Subscription Fees and Payments
4.1 Subscription Fees
Access to certain courses and features of the Services may require payment of a subscription fee. The subscription fees are clearly stated on our website or mobile applications, and you agree to pay the applicable fees for the chosen subscription plan.

4.2 Payment Terms
You agree to provide accurate and complete payment information and authorize us to charge the subscription fees to your designated payment method. All payments are non-refundable, and you are responsible for any applicable taxes or additional charges associated with your subscription.

4.3 Refund and claim policy
Vantage Pro can cancel the course at any time for any reason.
If a student fails to make payments as agreed, Vantage Pro can cancel their admission without refunding any fees already paid.
Vantage Pro can offer the seat to another candidate if the original student defaults on payments.
If the student wishes to discontinue the course, Vantage Pro is not liable to refund any paid fees. Subscriptions once invoiced will be non-refundable

4.4 Vantage Pro will be providing certificates and assistance with placements and internships for the courses offered by it. Any other Certificate/Degree for any other courses will be offered by the respected examination bodies like professional/degree courses by, University, NISM, ACCA ….

5. Third-Party Content and Links
The Services may contain links to third-party websites, services, or content that are not owned or controlled by Vantage. We do not endorse or assume any responsibility for any third-party content or websites. Your interactions with third-party websites or services are solely between you and the respective third party, and we recommend reviewing their terms and privacy policies.

6. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without any warranties or representations, express or implied. Vantage disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of information.

7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Vantage be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of the Services, even if Vantage has been advised of the possibility of such damages.

8. Indemnification
You agree to indemnify, defend, and hold harmless Vantage and its officers, directors, employees, lecturers, professors and agents from any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Services or your violation of these Terms.

9. Modifications and Termination
Vantage reserves the right to modify, suspend, or terminate the Services or your access to the Services at any time without prior notice and for any reason. We may also modify these Terms from time to time, and any modifications will be effective immediately upon posting. Your continued use of the Services after the posting of modifications constitutes your acceptance of the revised Terms.

10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Maharashtra, India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

11. Entire Agreement
These Terms constitute the entire agreement between you and Vantage regarding the Services and supersede all prior or contemporaneous understandings and agreements.
